This Terms of Service Agreement outlines the terms and conditions under which you (the Client) have engaged Digital Reach to provide services, as detailed below. This is a legally binding agreement between you and Digital Reach.

1. Services

1.1 Digital Reach offers digital marketing services, including but not limited to: Search Engine Optimisation (hereinafter known as “SEO”).

1.2 SEO Services
Digital Reach provides SEO services to the Client for agreed-upon keywords, pages, and prices as set forth prior to the commencement of this Agreement.

1.3 The Client authorises Digital Reach to employ agents and/or subcontractors periodically to assist in delivering the Services pursuant to this Agreement.

2. Digital Reach’s Obligations

2.1 Digital Reach shall provide Services to the Client in line with its standard policies and procedures. Digital Reach reserves the right to reject Clients for any reason at its sole discretion and will be responsible for all aspects of delivering the Services.

2.2 Digital Reach may alter its rules, policies, and operating procedures at its sole discretion.

3. SEO Reports and Activities

3.1 Digital Reach’s link-building activities (“off-page optimisation”) are confidential. Digital Reach will, however, provide periodic feedback to keep the Client informed of the domain’s progress.

4. Fees & Payment

4.1 All fees must be paid in full, in advance of the service provision.

4.2 Payments can be made by credit card or bank transfer.

4.3 The Client authorises Digital Reach to automatically charge their credit or debit card for ongoing fees related to the Client’s account.

4.4 Payments will be attempted on the monthly anniversary date of the Client’s first service order.

4.5 All invoiced amounts are due by 17:00 on the specified due date.

4.6 Services may be suspended for late payments.

4.7 Unpaid invoices will be forwarded to a collection agency after 60 days.

4.8 No refunds will be issued, except in cases of material breach by Digital Reach.

5. Cancellation of Services

5.1 This Agreement will renew every 30 days unless terminated by either party with at least 30 days written notice.

5.2 Cancellation will be confirmed via email.

6. Warranty and Liability

6.1 Digital Reach disclaims all warranties, except those mandated by UK law.

6.2 Digital Reach makes no guarantee regarding the specific rank position, quantity or quality of traffic, or sales increases.

6.3 Any fluctuations due to changes in search engine algorithms are not the responsibility of Digital Reach.

6.4 The Client remains responsible for the content and security of their website.

7. Indemnity

The Client shall indemnify Digital Reach against any losses, damages, or expenses arising from a breach of this Agreement.

8. Limitation of Liability

Digital Reach’s liability shall not exceed the most recent month’s service fee.

9. Governing Law and Complete Agreement

This Agreement is governed by the laws of the United Kingdom. It constitutes the complete understanding between the parties and supersedes all prior agreements.
